Terms of Service

1. Who we are

Knights of Satoshi Inc. ("Knights of Satoshi," "we," "us," or "our") is a Florida non-profit corporation. We operate a donation platform that lets donors give Bitcoin to Catholic parishes, schools, and other Catholic organizations. Each gift arrives as US dollars directly in the organization's own account with Strike, our payment provider. We never take custody of donated funds.

These Terms of Service (the “Terms”) govern an organization's use of the service. They are an agreement between us and your organization. By accepting these Terms, you accept them on behalf of your organization, and you and your organization agree to them. If you do not agree, do not use the service.

2. Definitions

• Organization (also “you” or “your organization”): a Catholic parish, school, diocese, or other Catholic entity that creates a giving page to accept gifts through the service.
• Administrator: the person who sets up and manages an organization's giving page and who accepts these Terms on the organization's behalf.
• Donor: a person who gives to an organization through the service.
• Giving page: the public page where donors give to a particular organization.
• Strike account: the organization's own business account with Strike, the regulated payment provider, into which gifts settle as US dollars.
• Service: the Knights of Satoshi donation platform and related websites and emails.

3. Organization eligibility and attestation

To use the service, your organization must be a tax-exempt organization described in Section 501(c)(3) of the Internal Revenue Code and in good standing. This includes an organization recognized individually by the IRS and an organization covered as a subordinate under a group exemption, such as the group ruling held by the United States Conference of Catholic Bishops (USCCB) for Catholic organizations listed in the Official Catholic Directory.

By accepting these Terms, the accepting administrator represents and warrants that:

• the administrator is authorized to act for the organization and to bind it to these Terms;
• the organization is a 501(c)(3) in good standing, individually or as a subordinate under a group exemption such as the USCCB group ruling;
• the information the organization provides through the service is accurate and current; and
• the organization will keep its tax-exempt status and its information current, and will tell us promptly if its status changes or it becomes ineligible.

4. Verification

Before an organization's giving page goes live, and from time to time afterward, we confirm that the organization is a 501(c)(3) in good standing. Every organization gives us its legal name and its employer identification number (EIN). How we confirm its status depends on which of two paths the organization chooses when it sets up its page:

• Group exemption: an organization covered as a subordinate under a group exemption, such as the USCCB group ruling, provides one letter from its diocese confirming that the organization is in good standing and is currently listed in the Official Catholic Directory.
• Its own IRS determination: an organization recognized individually by the IRS provides no document. Before we approve its giving page, we confirm the organization's EIN against IRS Tax Exempt Organization Search records, which show the organization's status as the IRS lists it today.

The organization is responsible for the accuracy of the documents and information it gives us, and for keeping them current. We may review what it provides, request updated documents or information, and decline, delay, suspend, or remove a giving page if we cannot confirm an organization's eligibility, if its documents or information are inaccurate or out of date, or at our discretion. We do not guarantee that any organization's page will be listed or remain listed.

5. Receipt and email agency authorization

By accepting these Terms, the organization appoints Knights of Satoshi as its limited agent for the sole purpose of preparing and sending donation receipts and related donation emails to donors in the organization's name. This authorization is part of these Terms.

What we may do as your agent

• Prepare a written acknowledgment (a receipt) for each gift, following IRS practice for contemporaneous written acknowledgments.
• Send that receipt by email to the donor, in the organization's name.
• Send related donation emails, such as a confirmation that a gift was received.

What each receipt states

Each receipt states the organization's name, a description of the gift (for example, the amount of Bitcoin given), the date the gift was received, and a statement that no goods or services were provided in exchange for the gift. The organization is responsible for telling us if a gift provided goods, services, or benefits that this statement would misdescribe, so the receipt can be corrected. A receipt also shows the amount of US dollars the gift converted to in the organization's account, as a courtesy for the donor's records. That figure is what the organization received; it is not an appraisal and not a statement of what the Bitcoin was worth. The gift itself is the Bitcoin described on the receipt, and determining the value and deductibility of a gift is the donor's responsibility.

Your responsibilities and how the authorization ends

The organization remains responsible for the accuracy of its legal name, tax-exempt status, and the other information shown on receipts. Receipts identify the organization as the recipient of each gift; Knights of Satoshi acts only as the organization's agent in preparing and sending them, and the organization is the party that acknowledges each gift.

This authorization continues until the organization's account closes or the organization revokes it in writing. Revoking the authorization or closing the account does not affect receipts already sent, and may require the organization to stop using the service.

6. How donations flow

A donor chooses an organization and a fund, enters an amount, and pays with Bitcoin. The gift settles as US dollars in the organization's own Strike account. Knights of Satoshi never holds, receives, or controls donated funds at any point.

The organization withdraws funds from its own Strike account to its bank, on its own schedule and subject to Strike's terms. The Strike account and the relationship around it are between the organization and Strike.

7. Fees

Knights of Satoshi charges organizations no fees to use the service, and takes no part of any gift.

Strike is a separate company with its own terms. Strike's terms, exchange rates, and any fees Strike charges apply to the organization's Strike account and to the settlement and withdrawal of funds. Knights of Satoshi does not set or control Strike's rates or fees.

8. Acceptable use

The organization and its administrators agree not to:

• provide false, inaccurate, or misleading information;
• use the service if the organization is not a 501(c)(3) in good standing;
• solicit or accept funds through the service for any purpose other than the organization's exempt purposes;
• interfere with, disrupt, or attempt to gain unauthorized access to the service, any account, or any related system; or
• use the service in violation of any applicable law, including sanctions and anti-money-laundering laws.

Administrators are responsible for keeping their sign-in access secure and for activity taken through their access.

9. No tax or legal advice

Knights of Satoshi does not provide tax, legal, or accounting advice. Information in the service and in receipts is general and is not advice for any particular situation.

A receipt shows the amount of US dollars the gift converted to in the organization's account, as a courtesy for the donor's records. That figure is not an appraisal and not a statement of what the Bitcoin was worth. Donors are responsible for determining the value and deductibility of their gifts. Organizations are responsible for their own tax reporting duties, including any duties that arise when a donated asset is sold. Donors and organizations should consult their own tax and legal advisors.

10. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that receipts or other emails will be delivered without delay or error.

Knights of Satoshi is not responsible for the acts, terms, rates, availability, or performance of Strike or any other third party, or for an organization's compliance with its own legal, tax, or diocesan obligations.

11. Limitation of liability

To the fullest extent allowed by law, Knights of Satoshi and its directors, officers, volunteers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of funds, data, goodwill, or tax benefit, arising out of or relating to the service.

Because Knights of Satoshi provides the service to organizations at no charge and never takes custody of funds, its total liability for any claim relating to the service will not exceed one hundred US dollars ($100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to your organization.

12. Termination

The organization may stop using the service at any time and may ask us to close its account and remove its giving page. Knights of Satoshi may suspend or end an organization's access, or remove a giving page, at any time, including if the organization is no longer eligible, provides inaccurate information, or violates these Terms.

Provisions that by their nature should survive termination continue to apply, including the validity of receipts already sent, the no-advice section, disclaimers, limitation of liability, and governing law.

13. Changes to these terms

We may update these Terms from time to time. When we make a material change, we will update the effective date above and, where appropriate, notify administrators. If an organization continues to use the service after a change takes effect, the organization accepts the updated Terms.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute relating to these Terms or the service will be brought exclusively in the state or federal courts located in Florida, and the organization consents to the personal jurisdiction of those courts.
